Talos Engine Beta Tester Terms

These Beta Tester Terms (“Terms”) govern your participation in the Talos Engine beta program. The program is run by Cadarn Inc., a Delaware corporation (“Cadarn”, “we”, “us”). Talos Engine is owned by its licensor and provided to beta testers by Cadarn under license.

By signing up for the beta, or by downloading, installing or using Talos Engine, the Talos Launcher or related tools (together, the “Software”), you agree to these Terms. If you are accepting on behalf of a company, you confirm that you can bind that company, and “you” includes it.

1. Eligibility

You must be at least 18 years old and able to enter a binding agreement. The beta is by invitation, and we may accept, decline or remove testers at our discretion.

2. Beta license

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software during the beta, solely to evaluate it and to give us feedback.

• Non-commercial use only. You may not sell, publish commercially or otherwise monetize anything built with the beta, unless we agree in writing. Commercial licenses will be available separately.
• Your projects are yours. You keep all rights to the content, code and assets you create with the Software (“Your Content”). These Terms don’t give us ownership of Your Content.
• Sharing. You may share screenshots, videos and descriptions of Your Content and of your experience with the Software. Please don’t share the Software itself, installers or download links.

3. Restrictions

You may not:

• copy, distribute, sublicense, rent or lend the Software;
• reverse engineer, decompile or disassemble the Software, except to the extent the law allows despite this restriction;
• remove or alter any notices, licensing or attribution in the Software;
• use the Software to break the law, infringe anyone’s rights, or build malware or anything designed to harm systems or people;
• bypass access controls, license checks or download gating.

4. Pre-release software

The Software is an early beta. It will have bugs. It may crash, lose data or change significantly between versions. Back up Your Content. Features, performance and availability may change at any time, and we may stop the beta at any time.

5. Feedback

We’d love your bug reports, ideas and comments (“Feedback”). You give us and our licensor a perpetual, irrevocable, worldwide, royalty-free right to use Feedback for any purpose, without any obligation to you. Don’t include anything in Feedback that you don’t have the right to share.

6. Diagnostics and data

The Software may send crash reports, error logs and basic technical information (for example version, operating system and hardware details) so we can fix problems. Usage analytics, if any, are described in the in-app settings and the Privacy Notice. Our Privacy Notice explains what we collect and how we use it.

7. AI and third-party services

Some features may connect to third-party services, such as AI model providers, when you choose to use them. Content you send to those services is handled under their terms and privacy policies as well as ours. The Software also includes open-source components, which are licensed under their own terms (see the notices included with the Software).

8. Confidentiality

Unreleased features, roadmaps and any non-public information we share with testers are confidential. Please don’t disclose them until we make them public. This doesn’t cover Your Content or anything already public.

9. Ownership

The Software, including all copies, updates and related intellectual property, belongs to its licensor and is licensed, not sold. Except for the license in Section 2, no rights are granted to you. “Talos” and “Talos Engine” are trademarks used by Cadarn under license.

10. Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DON’T WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER CADARN NOR ITS LICENSOR WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR CONTENT, ARISING FROM THE BETA OR THE SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO ONE HUNDRED US DOLLARS (US$100).

12. Term and termination

These Terms last until the beta ends or until either of us ends your participation. You may stop at any time by uninstalling the Software. We may end your access at any time, for any reason. When access ends, your license ends and you must delete the Software. Sections 3, 5, 8, 9, 10, 11 and 14 survive termination.

13. Export and sanctions

You confirm you are not located in, or a resident of, a country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will comply with U.S. export control and sanctions laws when using the Software.

14. General

• Governing law and venue: Florida law governs these Terms, without regard to its conflict-of-law rules. Courts located in Orange County, Florida have exclusive jurisdiction, and both parties consent to it.
• Changes: we may update these Terms. If a change is material, we’ll notify you (for example by email or in the Launcher). Continuing to use the Software after a change means you accept it.
• Entire agreement: these Terms and the Privacy Notice are the entire agreement about the beta. If any part is unenforceable, the rest still applies. You may not assign these Terms; we may assign them to an affiliate or successor.
